§1. Operator, scope and agreement
RELICT is an online platform operated by Relict Inc., a Delaware company in the United States ("RELICT," "we," "us"). These Terms govern access to the RELICT website, accounts, listing tools, transaction tools and API services (the "Platform"). Contact us at info@relict.cloud.
You must be at least eighteen years old, have capacity to contract, and have authority to act for any business you represent. You agree to these Terms through the acceptance mechanism presented when you register or use a service that requires acceptance. Keep your account information accurate and protect your credentials. You are responsible for activity you authorize through your account and must report suspected unauthorized access promptly.
The Buyer Terms, Artist Agreement, Delivery Policy, Cancellations and Returns Policy, API Subscription Terms, Affiliate Terms and Content and Image License apply to their respective services. The Privacy Policy and Cookie Policy explain data processing. The Artist–Buyer Artwork Sale Agreement governs the sale between its named parties. That agreement cannot impose an obligation on RELICT without RELICT's separate express written acceptance.
For the relevant service, a specific provision prevails over a general provision to the extent of a conflict. These Terms' provisions on RELICT's role, liability and disputes govern claims against RELICT unless an express written agreement signed by RELICT states otherwise. Escrow.com and Convelio have their own agreements; this package does not amend them.
§2. RELICT's role and identity verification
RELICT provides a venue where artists independently list and offer their works to buyers, together with tools for presenting listings and arranging a direct transaction. RELICT is not the seller, buyer, agent, broker, dealer, representative, custodian, appraiser, carrier, insurer or guarantor of any artwork or transaction. The artwork sale contract is solely between the Artist and Buyer identified in the transaction. RELICT does not negotiate on either party's behalf or determine the Artist's selling price.
RELICT does not verify, authenticate, certify, warrant or guarantee an artwork's authenticity, authorship, description, condition, value or quality. Statements about a work, including attribution, originality, title, provenance and rights, are statements made by the person supplying them. Displaying, formatting, promoting or transmitting a listing does not adopt those statements as RELICT's own. "Listed by the artist" identifies the capacity in which the seller lists the work; it is not RELICT's authentication of the work or seller's authorship.
RELICT checks only the correspondence between an account holder's identity and a submitted identity document through a third-party service. An "Identity verified" label means exclusively that the submitted identity document passed that verification process. RELICT does not thereby confirm authorship, rights in any work, authority to sell it, originality or conformity with its description. A name matching the name of a well-known artist does not establish that the account belongs to that artist. Identity verification is not a recommendation, guarantee of conduct or assurance that a transaction will be completed.
Artwork payments are handled by Escrow.com. Delivery is provided through Convelio under the relevant provider agreement. RELICT does not receive or hold the Artwork Sale Price for the parties, take custody of the artwork, undertake delivery, or guarantee or control either party's performance. Technical transmission of transaction data, provider status information or instructions authorized by a party does not make RELICT a party to the artwork sale.
Use of a three-party escrow transaction does not create a brokerage or agency relationship between RELICT and either party. Escrow.com's technical account or API designation of RELICT as "broker" is used to identify the recipient of the Platform Fee within that provider's transaction system. It does not authorize RELICT to represent, negotiate for or bind the Artist or Buyer.
§3. Artwork transactions, fees and geography
The Artist sets the Artwork Sale Price and independently decides which works to list. The Artist pays RELICT a Platform Fee equal to 15% of the Artwork Sale Price for listing and promotion services, access to buyers, transaction tools and integrations with the escrow and delivery providers. It is earned only on a completed sale and is deducted by Escrow.com from the Artist's proceeds at closing. For this purpose, completion means the escrow transaction has closed and the sale proceeds have been released under the accepted transaction terms, subject to the reversal of the Platform Fee if the sale is subsequently fully unwound under a valid return. No Platform Fee is earned on a cancelled or unsuccessful sale.
The Buyer pays one Artwork Sale Price for the work. The Artist's Platform Fee is included within that price and is not added as a separate charge payable by the Buyer to RELICT. The Buyer pays Escrow.com's own transaction fees and the delivery, insurance, import and other charges allocated to the Buyer in the accepted transaction documents. All amounts and their allocation must be disclosed before payment. RELICT does not undertake to absorb or cover the providers' charges.
Stripe is used for API subscriptions, not for artwork purchases or the artwork Platform Fee. A legacy wallet or historical payment record does not authorize funding a new artwork purchase through that wallet or Stripe. Existing lawful historical balances and obligations are not extinguished by these Terms.
The Artist and Buyer must accept the same completed Artist–Buyer Artwork Sale Agreement before the Buyer is asked to fund the artwork transaction. They must also complete the provider's required acceptance and verification procedures. RELICT's creation of a transaction record is not acceptance of the sale on behalf of either party.
Artwork purchases are unavailable to buyers resident or established in, and for delivery to, any of these countries: Austria, Belgium, Bulgaria, Croatia, Cyprus, Czechia, Denmark, Estonia, Finland, France, Germany, Greece, Hungary, Ireland, Italy, Latvia, Lithuania, Luxembourg, Malta, the Netherlands, Poland, Portugal, Romania, Slovakia, Slovenia, Spain, Sweden, Norway, Iceland, Liechtenstein, Switzerland and the United Kingdom. Do not use a forwarding address, intermediary, nominee or inaccurate location information to evade this restriction. Sellers located in those countries are not excluded solely because of their location and may participate subject to seller eligibility, applicable law and provider availability. This artwork-buyer restriction does not by itself restrict API subscriptions.
Provider availability, sanctions, export controls and other applicable restrictions may prevent a transaction in additional locations. Listing or account access does not promise availability of an escrow, banking, shipping or insurance service for a particular transaction.
§4. User content and lawful conduct
You are responsible for the accuracy and lawfulness of content you submit and for having the rights necessary to submit and use it. Do not post stolen images, unlawful content, misleading identities, fraudulent listings, material that infringes another person's rights, or personal information you have no authority to disclose. Do not manipulate transactions, bypass security, misuse identity documents, interfere with other users or evade applicable restrictions.
The Artist's warranties about authorship, title, rights, condition and description are the Artist's obligations. RELICT does not substitute its own warranty for them. Physical ownership of an artwork does not itself transfer copyright. The Content and Image License governs content permissions granted to RELICT and use of materials accessed through the Platform.
§5. Listing removal, account closure and rights complaints
RELICT may refuse, restrict, suspend or remove any listing, content or service access, and may suspend or close any account, at its discretion, with or without advance notice and without providing reasons, to the fullest extent permitted by applicable law. RELICT has no obligation to continue hosting a particular listing or account. A removal or closure does not establish whether a disputed artwork is authentic, who owns it or whether a user committed wrongdoing.
For copyright, stolen-image or other rights complaints, email info@relict.cloud with your contact details, the rights involved, the material at issue and its precise Platform location, and the basis of your authority to complain. Upon receiving a sufficiently specific notice identifying allegedly infringing material, RELICT will promptly remove or disable access to that material while the notice is processed. RELICT will not wait for a debate between the parties or a determination of the underlying ownership dispute before taking that initial action. Repeated infringement may result in account termination.
A statutory DMCA notice must include the owner's or authorized representative's signature; identification of the copyrighted work and allegedly infringing material and its location; contact details; a good-faith statement that the use lacks authorization from the owner, its agent or law; and a statement of accuracy and authority under penalty of perjury. Formal service on a designated agent must use the agent's current registered contact details.
Where the DMCA applies, RELICT promptly notifies the contributor. A counter-notice must include a signature, the material and former location, a statement under penalty of perjury of mistake or misidentification, name, address, telephone number, and the required consent to U.S. federal court jurisdiction and service of process. After a compliant counter-notice, the statutory restoration period is ten to fourteen business days unless the complainant reports filing the required court action. RELICT follows that process; independently justified removal under other Platform rules remains possible. Knowingly false notices may carry legal consequences.
§6. Disclaimers and limitation of liability
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, RELICT DISCLAIMS EXPRESS, IMPLIED AND STATUTORY WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT AND WARRANTIES ARISING FROM COURSE OF DEALING. RELICT DOES NOT PROMISE UNINTERRUPTED OR ERROR-FREE ACCESS, A PARTICULAR COMMERCIAL RESULT, OR SUCCESSFUL PERFORMANCE OF AN ARTWORK TRANSACTION.
To the fullest extent permitted by applicable law, RELICT is not liable for the acts or omissions of Artists, Buyers, Escrow.com, Convelio or other third parties; for artwork authenticity, authorship, rights, descriptions, condition, quality or value; or for delivery, delay, damage, loss, customs clearance, duties, taxes, export or import permissions, insurance coverage or claim outcomes. Artwork and artwork-payment claims must be directed to the Artist under the sale agreement and, where relevant, to the provider responsible under its own agreement. RELICT support addresses Platform operation and does not adjudicate or assume those claims.
RELICT is not liable for indirect, incidental, consequential, special, exemplary or punitive losses, lost profits, lost revenue, lost business opportunities, lost goodwill or loss of anticipated savings, regardless of the theory of liability and whether the possibility was advised.
RELICT's aggregate liability arising out of or relating to a particular artwork transaction, under any theory, is limited to the amount of the Platform Fee earned by RELICT on that transaction. RELICT's aggregate liability arising out of or relating to API services is limited to the API subscription fees actually paid by the claimant to RELICT during the twelve months immediately preceding the event giving rise to the claim. Related events giving rise to the same claim do not create multiple caps. For other Platform claims, aggregate liability is limited to the fees actually paid by the claimant to RELICT for the service concerned during that twelve-month period.
These provisions allocate responsibility for RELICT's own Platform services; they do not transfer the Artist's or a provider's obligations to RELICT. No exclusion, disclaimer or cap applies to the extent the particular liability cannot lawfully be excluded or limited. The limitations otherwise apply to the fullest extent permitted by law, including where a remedy fails of its essential purpose.
§7. Delaware law, individual arbitration and class-action waiver
These Terms and disputes with RELICT are governed by Delaware law, without regard to conflict-of-law rules, and the Federal Arbitration Act governs the arbitration agreement. This section governs disputes with RELICT; it does not make RELICT a party to an Artist–Buyer dispute or amend a provider's dispute terms.
Before starting arbitration, the claimant must send a written notice describing the dispute and requested relief to the other party. Notices to RELICT go to info@relict.cloud. The parties will attempt informal resolution for thirty days after receipt. This requirement does not prevent timely action needed to preserve a claim or seek permitted interim relief.
Except for the limited court proceedings identified below, disputes arising out of or relating to the Platform, these Terms or the parties' relationship with RELICT will be finally resolved by binding individual arbitration administered by the American Arbitration Association under its applicable rules, or its International Centre for Dispute Resolution where the dispute is international and those rules apply. There will be one neutral arbitrator. The legal seat is Wilmington, Delaware, and the proceedings will be in English. Hearings may take place remotely. The administrator's applicable rules and mandatory law govern fees and procedural protections. Information about the rules and filing process is available at https://www.adr.org and https://www.icdr.org.
YOU AND RELICT AGREE TO BRING CLAIMS ONLY IN YOUR INDIVIDUAL CAPACITIES. NO CLASS, COLLECTIVE, CONSOLIDATED OR REPRESENTATIVE ARBITRATION OR ACTION IS AUTHORIZED. THE ARBITRATOR MAY GRANT RELIEF ONLY FOR THE INDIVIDUAL CLAIMANT AND ONLY TO THE EXTENT NECESSARY TO RESOLVE THAT CLAIMANT'S INDIVIDUAL CLAIM. YOU AND RELICT WAIVE A JURY TRIAL FOR DISPUTES COVERED BY THIS ARBITRATION AGREEMENT.
Courts with jurisdiction may be used to compel arbitration, enforce or challenge an award as permitted by law, obtain temporary relief to preserve rights pending arbitration, or handle a claim that cannot lawfully be arbitrated. A competent court determines the enforceability of the class-action waiver. Except where a statute requires another forum, the state and federal courts located in Delaware are the exclusive courts for these limited proceedings, and the parties consent to their jurisdiction. Statutory DMCA counter-notice jurisdiction is unaffected.
If a part of this arbitration agreement is unenforceable, the enforceable remainder continues. An unenforceable restriction does not constitute consent to class or representative arbitration; a claim that cannot be resolved in individual arbitration proceeds only in a legally competent court. This section survives account closure.
§8. Termination, changes and general provisions
RELICT may end access, close an account or remove a listing at its discretion without explaining its decision, subject to applicable law. Closure does not cancel an existing Artist–Buyer agreement, erase an earned or otherwise lawful obligation, permit misuse of escrow funds, or eliminate statutory record-retention duties. RELICT may retain the records needed to address transactions, claims, security, accounting and legal obligations in accordance with the Privacy Policy.
RELICT may update these Terms prospectively by publishing a dated version and giving notice where required. Material changes that require assent will be presented for acceptance. An update does not silently change the accepted price, fee allocation, return option or contract snapshot of an existing sale.
You may not assign your rights or obligations without RELICT's prior written consent. RELICT may assign these Terms in connection with a business transfer, subject to applicable law and the Privacy Policy. Failure to enforce a provision is not a waiver. If a provision is unenforceable, the remainder continues to the extent legally possible. The provisions concerning fees already earned, content permissions necessary for records, indemnities, limitations, disputes and existing obligations survive as applicable.
The Artist and Buyer are responsible for compliance with laws that apply to them, including business registration, taxes, export and import controls and permits. RELICT does not provide legal, tax, investment, valuation or customs advice. No partnership, joint venture, employment, fiduciary, agency or brokerage relationship is created by use of the Platform.
