1. Independent seller
This Agreement governs your use of RELICT to list and sell your own artwork in your independent business capacity as an Artist. You are the seller to the Buyer. You set your price, supply your listing statements, enter the sale agreement and perform your obligations. Relict Inc. supplies Platform services and does not represent you, negotiate for you, acquire your work or become a party to your sale.
RELICT is not your agent, broker, dealer, partner, employee, custodian, appraiser, carrier, insurer or guarantor. Exclusivity of a listing does not appoint RELICT to sell on your behalf. Identity verification establishes only the limited document-check result stated in the Terms of Use; it is not RELICT's adoption of your authorship or rights claims.
2. Warranties for every listed work
For each work you list, offer and sell, you represent and warrant that you are its author; that your identification, artist name and business information are accurate; that you own the work or hold all rights and authority necessary to sell it as offered; and that the sale does not violate another person's ownership, copyright, moral rights, security interest, contractual right or applicable law. Disclose any joint authorship, edition, prior sale, encumbrance or other fact relevant to the rights offered. A work that cannot meet these requirements must not be listed as your own work.
You warrant that the description, images, dimensions, medium, date, edition information, signature, condition disclosures, provenance statements and accompanying documents you supply are accurate and not misleading. You must disclose material damage, restoration, alterations and limitations of title or rights before acceptance. You must not describe a reproduction, copy or work by another person as your original creation.
These are your warranties to RELICT and, as incorporated into the sale agreement, to the Buyer. RELICT does not make them independently. You must retain appropriate supporting records and provide accurate documentation needed for the sale, lawful export, provider compliance and a claim.
3. Listing, exclusivity and availability
Keep the work available, maintain its disclosed condition and update or withdraw the listing promptly if circumstances change. While a work is actively listed, reserved for a RELICT transaction or subject to an unresolved RELICT sale, you grant RELICT exclusive online sale listing for that specific work and must not offer or sell it through another platform, intermediary or direct channel. This is a listing obligation, not a transfer of ownership or an appointment of an agent. It does not prevent you from creating or selling other works that are not subject to a RELICT listing.
You may withdraw an unreserved listing before a sale agreement is accepted, subject to any existing obligation. Withdrawal does not cancel an accepted sale, remove a reservation obligation already accepted by you, or permit circumvention of a buyer relationship introduced through RELICT.
Do not divert an enquiry, buyer or transaction introduced through RELICT to avoid the Platform Fee or the required escrow process. This restriction applies while the listing is active and for twelve months after the last RELICT introduction or substantive transaction contact concerning that work. It does not apply to an independently documented pre-existing buyer relationship that was not used to evade an active listing or accepted RELICT sale.
4. Platform Fee
For the Platform's services—listing and promotion of works, access to buyers, transaction tools, and integrations with the escrow provider and carrier—you pay RELICT a Platform Fee equal to 15% of the Artwork Sale Price. The Artwork Sale Price is the agreed price of the physical work, excluding separately itemized delivery, insurance, provider fees and taxes collected as such.
The Platform Fee is earned only on a completed sale. Escrow.com deducts it from the amount otherwise payable to you and pays it to RELICT at closing. Subject to any other disclosed seller-side charges, your share of the Artwork Sale Price is 85%. The Platform Fee is consideration for Platform services and creates no agency, brokerage, representation or partnership relationship. RELICT is not a party to the Artist–Buyer sale agreement and assumes no obligations under it.
You authorize inclusion of that allocation in the transparent three-party escrow transaction and give Escrow.com the corresponding authorization through its own acceptance process. Its technical "broker" designation does not appoint RELICT as your representative. No Platform Fee is earned if the transaction is cancelled, the Buyer validly rejects the work or the sale otherwise fails to complete. If an escrow closing is reversed and the Artwork Sale Price is refunded in full under a valid return, any Platform Fee already disbursed for that sale must also be reversed or returned through the corresponding adjustment; RELICT does not retain a success fee on a fully unwound sale.
The Buyer pays Escrow.com's own transaction fees. RELICT does not undertake to cover those fees, bank fees, delivery charges or taxes from its Platform Fee. You must not add a separate RELICT buyer charge to the accepted price.
5. Acceptance, fulfilment and returns
Before the Buyer pays, you must expressly accept the same completed Artist–Buyer Artwork Sale Agreement as the Buyer. The agreement must include the work snapshot, your price, the selected return option, delivery obligations and fee allocation. Material changes require renewed acceptance by both parties. RELICT may transmit your accepted instructions but cannot bind you to terms you have not accepted.
Provide the agreed work, packaging, condition evidence, documents and availability for collection. Cooperate with Convelio, Escrow.com and the Buyer within the accepted deadlines. Do not dispatch before the provider's required funding confirmation and instructions. Do not ask the Buyer to falsely confirm receipt or waive inspection of a damaged or different work.
The default is no voluntary return. You may select a fifteen-day voluntary return option for a particular work before acceptance; you must honor that choice. Non-delivery, delivery of the wrong work and damage within your delivery obligation require a full refund of the Artwork Sale Price through escrow. Your duty to provide or authorize the necessary refund funds is not extinguished merely because a provider has already released funds. Buyer-borne costs are addressed in the accepted sale agreement and Returns Policy. RELICT does not advance your refund obligation.
6. Export, import, taxes and legal compliance
You are responsible for laws applying to your business and the work, including your registration, income and other seller taxes, lawful provenance, cultural-property restrictions, sanctions, export clearance, export licences and accurate customs declarations. Obtain the documents and permits allocated to you and give the Buyer and carrier accurate information needed for lawful import. You remain responsible for any import obligation that law or the accepted agreement places on you; the Buyer's destination obligations do not excuse your own.
Do not understate value, misdescribe a shipment or ask a provider or Buyer to evade duties or restrictions. Sellers in countries excluded for Buyers may participate only where the sale and export remain lawful and the providers accept the route. RELICT does not provide legal, tax or customs advice and does not obtain permits on your behalf merely by displaying transaction tools.
7. Seller default, circumvention and removal
If, without a valid contractual or legal ground, you refuse or fail to complete an accepted sale, sell the committed work elsewhere, materially misrepresent the work or divert the introduced transaction to evade the Platform, you are responsible for the resulting breach. RELICT may immediately remove listings, suspend services and close your account without explanation, in addition to available remedies.
For a culpable failure to perform an accepted sale or a completed circumvention sale, a separate Seller Default Charge equal to 15% of the agreed Artwork Sale Price is payable to RELICT, to the extent enforceable. This is an agreed measure of the Platform's wasted transaction services and loss from that breach; it is not the success-based Platform Fee on an unsuccessful sale. It does not apply to a valid Buyer rejection, a permitted cancellation, a provider refusal not caused by your breach, or a lawful inability to perform that you did not cause and promptly disclosed.
There is no duplicate recovery of a Platform Fee, Seller Default Charge and damages for the same loss: amounts recovered for the same loss are credited. If the agreed measure cannot lawfully be enforced, RELICT may instead pursue its proven recoverable loss. The charge is an obligation between you and RELICT. It is not permission to take the Buyer's funds, retain a Buyer refund, or instruct Escrow.com to release money contrary to its agreement. Escrow deductions require a separately valid provider authorization.
8. Indemnity
To the fullest extent permitted by applicable law, you will defend, indemnify and hold harmless RELICT and its officers, employees and service representatives against third-party claims, liabilities, judgments, reasonable legal costs and expenses arising from your breach of this Agreement or the sale agreement; your authorship, title, rights or listing statements; infringement by your submitted content or work; your failure to deliver or refund as required; or your violation of applicable law, export, import or tax obligations.
RELICT will give reasonably prompt notice of a claim and reasonable cooperation at your expense. RELICT may participate with its own counsel and retain control where its independent interests, injunctive relief or a conflict require it. You may not settle a claim in a way that admits fault for RELICT, restricts its activity or imposes an obligation on it without its written consent. This indemnity does not require you to indemnify liability that applicable law prohibits shifting to you.
9. Content, records and termination
The Content and Image License governs your permission for RELICT to display and distribute your submitted materials. Listing exclusivity does not transfer copyright. You must preserve transaction records and cooperate with valid rights notices and provider enquiries. Closing your account does not terminate accepted sales, erase refund duties or remove obligations that survive by their nature.
The Terms of Use govern RELICT's services, liability limits, Delaware law, individual arbitration and class-action waiver. They do not impose the Artist's sale obligations on RELICT.
